Commercial Transactions & Payment Terms

The following general principles apply to commercial transactions with Silver Gate Trade LLC. Specific terms will be confirmed in individual written agreements:

• Invoicing & Tax: All transactions are invoiced in compliance with applicable U.S. federal and state tax laws. Sales tax will be applied where required by law. Buyers are responsible for any import duties, tariffs, or taxes applicable in their jurisdiction.
• Payment Allocation: Payments received will be applied against outstanding invoices in order of ageing. Where a payment is less than the outstanding balance, the amount will be allocated accordingly and the remaining balance will continue to age per agreed payment terms. Where a payment or credit exceeds the outstanding balance, a new invoice or credit note will be raised as appropriate.
• Overdue Balances: Accounts overdue beyond agreed payment terms may be subject to late payment charges, suspension of services, or referral to collections, as permitted under applicable law and the terms of the relevant contract.
• AML & KYC: All commercial counterparties must satisfactorily complete Silver Gate Trade LLC's KYC and AML verification process before any transaction is executed, in accordance with the Bank Secrecy Act (BSA) and FinCEN requirements.
• Bank & Compliance Documentation: Transaction documentation, including invoices, purchase orders and shipping records, must meet the standards required by our banking partners to facilitate payment processing and trade finance.
